Memorly App: Terms of Use

By creating a user account, downloading, installing, accessing, or using the Memorly application ("App"), you're signing up to follow these Terms of Use (the "Terms"). Welcome aboard!

I. Acceptance of Terms

Basically, by using Memorly, you're agreeing to these terms. No surprises here—just keeping things clear and tidy.

II. Your Account

You might need an account to enjoy some cool features. Please keep your login info safe—like your toothbrush, don't share it! If someone suspiciously accesses your account, let us know immediately. Memorly can't take the blame if your login info gets into the wrong hands.

III. User-Generated Content (Factsheets)

Permitted Content:

You can create, save, and view your own factsheets with text, questions, and answers for your personal studies and quizzes. Memorly may occasionally put reasonable limits on content size or type.

Prohibited Content (The Big No-Nos):

You're agreeing not to create, upload, or share content that:

  1. Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of privacy, hateful, or simply not cool.
  2. Includes random links to unrelated external websites. Memorly isn't a billboard!
  3. Looks suspiciously like spam, unsolicited ads, or annoying promotional junk.
  4. Steps on any intellectual property rights—keep your creativity original!
  5. Contains hate speech or promotes violence or discrimination (seriously, don't).
  6. Harasses, abuses, or otherwise harms other people. Be nice!

Ownership and License:

You retain full ownership of your Factsheets. Memorly does not claim any rights to your content beyond what is needed to display it within your account.

IV. Acceptable Use and Prohibited Activities

You agree to use the App solely for creating and managing personal learning factsheets. You agree not to:

  1. Use the App for any illegal or unauthorized purpose.
  2. Access, tamper with, or use non-public areas of the App, Memorly's computer systems, or the systems of Memorly's providers.
  3. Probe, scan, test vulnerabilities, or breach security or authentication measures.
  4. Interfere or attempt to interfere with access to the App by any user, host, or network, including sending viruses, overloading, flooding, spamming, or mail-bombing.
  5. Engage in data mining, robots, or similar data extraction methods.
  6. Reverse engineer, decompile, disassemble, or attempt to discover the source code of the App.
  7. Use the App in any manner that disables, overburdens, damages, or impairs the App.

V. Intellectual Property

The App, its original content, features, and functionality (excluding user-generated content) remain the exclusive property of Memorly and its licensors. The App is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used without prior written consent from Memorly.

VI. Disclaimers

The App is provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied, regarding operation or included content and materials. Your use of the App is at your sole risk.

VII. Limitation of Liability

In no event shall Memorly, its directors, employees, partners, agents, suppliers, or affiliates be liable for:

  1. Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill resulting from your use or inability to use the App.
  2. Conduct or content of third parties on the App.
  3. Content obtained from the App.
  4. Unauthorized access, use, or alteration of your transmissions or content.

This limitation applies whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Memorly has been informed of potential damages.

VIII. Termination

Memorly may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including breaches of these Terms. Depending on the severity and nature of violations, Memorly may issue warnings, temporarily suspend accounts, or terminate accounts immediately without warning, especially for severe or repeated violations involving illegal content, hate speech, or harm to the App's integrity.

Effect of Termination:

Upon termination, your right to use the App ceases immediately. You may terminate your account by discontinuing use and deleting the App from your device.

IX. Changes to Terms

Memorly reserves the right to modify these Terms at any time. Material revisions will be communicated at least 30 days prior to taking effect. Continued use after changes constitutes acceptance of the revised Terms. If you do not agree, stop using the App.

X. Governing Law, EU, and USA Compliance

These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict of law principles.

Memorly complies with applicable laws and regulations at the time of the App's release and continued operation, including EU regulations (GDPR, DSA) and US federal and state privacy laws (CCPA/CPRA).

You acknowledge and agree to comply with changes in laws governing digital services and consumer rights in the EU and US. Continued use after such changes implies acceptance.

If accessing from outside the EU or US, you are responsible for compliance with local laws. Memorly does not guarantee the App's appropriateness or availability outside these jurisdictions.
